ya lo habia leido es lo mismo que me mando vinagre...lo primero que tengo claro es que esto es una propuesta y es evidente que necesitan que sean mas los que se apuntan (te incentivan con el 0,25%)por lo tanto deben de alcanzar un porcentage el problema es cuanto ????? y el que se niegue logicamente deberia mantener su deuda senior con toda vigencia ...por otro lado veo que la operacion es una solucional problema de liquidez que hace que los gastos financieros haga imposible la viavilidad de la empresa pero es es su problema que la vendan hay seguros muchos con un gran interes en adquirirla es un sector en el que capital ruso y estado unidense tienen interes...pero claro es mas facil esto que proponen los dueños mantienen el control con el 51% y reducen los gastos financieros a menos de la mitad...supongamos que quiebre tenemos una empresa con licencias de comunicacion en Hungria la segunda empresa mas importante cuanto vale ???? a mi me parece que bastante mas del 50% de los 325 millones vivos de la deuda senior

si me lo acaban de decir pero...yo creo que todos lo que necesitamos son respuestas a estas preguntas :
1.-Que porcentage de bonistas minimo tiene que decir si a esta reestructuracion ?
2.- Que ocurre con la deuda que tenemos si no se aceptamos la reestructuracion propuesta y esta se lleva a cabo ?
3.-En caso de que puedan hacer la reestructuracion nos cambiarian obligatoriamente a los que hemos dicho NO nuestra deuda por las acciones y nueva deuda

whole or, if possible, present and voting at a Noteholder meeting convened

All other amendments will require approval of more than 50 per cent. of
Noteholders (taken as a whole or, if possible, present and voting at a
Noteholder meeting convened for the purpose);
If present and voting mechanic is assumed, quorum for Noteholder meetings
will be set at 25%.
Notes held by the Sponsor, any Affiliate of the Sponsor or any member of the
Group will not be included in calculating whether the consent of the relevant
percentage of Noteholders has been obtained to approve amendments or
waivers, or other votes under the Notes.

Con respecto a si falla el plan, parece que segurirían con otra propuesta, incluso no sería el fin esta última.
If the Strategic Disposal Plan is not approved by the Holdco Board (including
the Noteholder Directors) on or before 15 January 2014, a revised Strategic
Disposal Plan will be presented to the board of directors of Holdco (the
“Holdco Board”) on or before 15 February 2014 for approval. If that revised
Strategic Disposal Plan is not approved, the Holdco Board will put forward
three independent internationally recognised financial advisers, from which the
Noteholder Directors will select one, to prepare a further revised Strategic
Disposal Plan in consultation with the Holdco Board. If the Holdco Board fails
to put forward the required financial advisers within 20 Business Days of 15
February 2014, the Noteholder Directors may appoint an independent financial
adviser of their choice for this purpose. Similarly, if the Noteholder Directors
fail to select a financial adviser within 10 Business Days of three being put
forward, the Holdco Board may appoint an independent financial adviser of its
choice for this purpose. The further revised Strategic Disposal Plan prepared
by the independent financial adviser that is appointed will be submitted to the
Holdco Board by 30 April 2014 and will be deemed to be accepted and
approved by the Holdco Board in the form proposed by the independent
financial adviser.
For the avoidance of doubt, failure of the Holdco Board to approve the
Strategic Disposal Plan shall not be an event of default under the Reinstated
Notes or a breach of any shareholders agreement between the Sponsor and the
Noteholders.

Siento no traducir pero no parece que pudieran convivir diversas deudas, esto es, no creo que unos pudieran tener las deudas actuales mientras otros seguir con el plan. Pero cualquiera sabe porque no ponen como pueden acabar los planes futuros desde luego.

esto es muy importante se necesita el 75% y han de comunicarnos via custodio si esto es asi aun lo tengo mas claro yo en principio no voy al canje

el último párrafo es interesante. "El sponsor por no conseguir ningún acuerdo con los bonistas no podrá hacer "default", vamos, quebrar, por no haber conseguido acuerdo en ningun momento.

Aparte de esto, preocupante es de donde sacan el dinero mientras esto se resuelve, parece que sale de los intereses de nuestros bonos mientras no haya acuerdo.
