Sería interesante resaltar que en los temas de fusiones bancarias, el BCE ni pincha ni corta, más allá de los requerimientos prudenciales. El BCE (o mejor dicho, el Mecanismo Único de Supervisión, supervisor de BBVA y Sabadell) únicamente emitiría su opinión en lo relacionado a los requisitos regulatorios de capital, liquidez y apalancamiento, principalmente (alejándose de otro tipo de consideraciones como las referidas a la competencia). Tal y como declaran en su guía para las consolidaciones bancaria: “In the banking sector, consolidation transactions are also scrutinised by the prudential supervisor. Its prudential mandate is neither to assess whether consolidation efforts are beneficial as such nor to push for particular types of transactions – this needs to be decided by market participants – but to make sure that the resulting business combination complies with prudential requirements and ensures effective and prudent risk management”.
