Un gusto poder volverte a leer por aquí :)

Con los años, he ido aprendiendo que cada año hay 2 ó 3 sectores castigados y en los que el miedo se apodera de inversores, prensa y telediarios. 

Sin ir muy lejos, petróleo, tabaco, coches... Parece que todo se vaya a acabar de la noche a la mañana.

¿Sabes como está Renault de preparada para el cambio a coches eléctricos?

En 2018, el coche eléctrico más vendido en España fue el Renault Zoe.  En el top 5 de coches más vendidos, son coches pequeños de ciudad. 

Me da la sensación que están preparados, pero la demanda no acompaña en algunos países.

Fiat le propone una fusión a Renault

Adjunto el comunicado de FIAT a sus inversores

Fiat Chrysler Automobiles N.V. has today delivered a non-binding letter to the Board of Groupe Renault proposing a combination of their respective businesses as a 50/50 merger.

The FCA proposal follows initial operational discussions between the two companies to identify products and geographies where they could collaborate, particularly as they develop and commercialize new technologies.

These discussions made clear that broader collaboration through a combination would substantially improve capital efficiency and the speed of product development. The case for combination is also strengthened by the need to take bold decisions to capture at scale the opportunities created by the transformation of the auto industry in areas like connectivity, electrification and autonomous driving. The proposed combination would create a global automaker, preeminent in terms of revenue, volumes, profitability and technology, benefitting the companies’ respective shareholders and stakeholders.

The combined business would sell approximately 8.7 million vehicles annually, would be a world leader in EV technologies, premium brands, SUVs, pickup trucks and light commercial vehicles and would have a broader and more balanced global presence than either company on a standalone basis.

The benefits of the proposed transaction are not predicated on plant closures, but would be achieved through more capital efficient investment in common global vehicle platforms, architectures, powertrains and technologies.

FCA has a history of successfully combining OEMs with disparate cultures to create strong leadership teams and organizations dedicated to a single purpose. Therefore, FCA’s Board strongly believes that this combination, which would have the scale, expertise and resources to navigate the rapidly changing automotive industry, would create new opportunities for employees of both companies and for other key stakeholders. Under the terms of the proposal, shareholders in each company would receive an equivalent equity stake in the combined company.

The combination would be carried out as a merger transaction under a Dutch parent company. The Board of the combined entity would initially be composed of 11 members, with the majority being independent and with equal representation of four members each for both FCA and Groupe Renault, as well as one nominee from Nissan. Further, there would be no carryover of existing double voting rights. However, all shareholders would have the opportunity to earn loyalty voting rights from the completion of the transaction under a loyalty voting program.

The parent company would be listed on the Borsa Italiana (Milan), Euronext (Paris) and the New York Stock Exchange. The benefits flowing from the combination of the two businesses would be shared, 50% by current FCA shareholders and 50% by current Groupe Renault shareholders.

Before the transaction is closed, to mitigate the disparity in equity market values, FCA shareholders would also receive a dividend of €2.5 billion (see Appendix).

In addition, prior to closing, PRESS RELEASE there would be a distribution of Comau’s shares to FCA’s shareholders or an incremental €250 million dividend if the Comau spin-off does not occur. Combining the businesses will bring together complementary strengths. The combination would create a brand portfolio that would provide full market coverage with a presence in all key segments from luxury/premium brands, such as Maserati and Alfa Romeo, to the strong access brands of Dacia and Lada, and would include the well-known Fiat, Renault, Jeep and Ram brands as well as commercial vehicles. Groupe Renault has a strong presence across Europe, Russia, Africa and Middle East, while FCA is uniquely positioned in the high margin segments in North America and is a market leader in Latin America. FCA’s evolving capability in autonomous driving, which includes partnerships with Waymo, BMW and Aptiv, is complemented by Groupe Renault’s decade of experience in EV technology where it is the highest selling EV OEM in Europe. Groupe Renault also has a well-established and profitable financing business (RCI Banque).

The combination would be highly value accretive for both FCA and Groupe Renault shareholders, delivering in excess of €5 billion of estimated annual run rate synergies, incremental to existing Alliance synergies. These synergies would arise principally from the convergence of platforms, the consolidation of powertrain and electrification investment and the benefits of scale. FCA estimates based on its experience, that approximately 90% of synergies would come from purchasing savings (~40%), R&D efficiencies (~30%), and manufacturing and tooling efficiencies (~20%). Included in these estimated savings would be the potential to reduce the combined number of vehicle platforms by approximately 20% and engine families by approximately 30%. The full run rate of estimated synergies is expected to be achieved by the end of year six following closing, with about 80% achieved in year four. Taking into account the impact of the approximately €3-4 billion in cumulative implementation costs, it is estimated that the synergies would be net cash flow neutral in year one and positive from year two onward.

Geographically, based on FCA and Groupe Renault’s 2018 global sales, the combined company would be #4 in North America, #2 in EMEA and #1 in Latin America and would have the increased resources necessary to grow its footprint in the APAC region. On a simple aggregated basis of 2018 results, the combined company’s annual revenues would be nearly €170 billion with operating profit of more than €10 billion and net profit of more than €8 billion. While the proposal focuses on a combination of FCA and Groupe Renault, FCA looks forward – as part of a combined enterprise with Groupe Renault – to working with Groupe Renault’s Alliance partner companies on ways to create additional value for all Alliance members. FCA recognizes the standing and achievements of Groupe Renault’s partners and sees significant expected benefits to all parties from the expanded partnership. The FCA and Groupe Renault combination together with its Nissan and Mitsubishi partners would be the largest global OEM alliance, selling more than 15 million vehicles annually.

The additional synergies stemming from the merger of FCA and Groupe Renault that are expected to accrue to Nissan and Mitsubishi purely as members of the Alliance are estimated to be worth an incremental €1 billion annually. PRESS RELEASE This proposal offers the opportunity to create the #3 global automotive company with broad, complementary and strong brand and geographic presence and important strengths in transforming technologies. It also confirms and enhances the value of the existing Alliance and its potential to become even stronger in the future. While there is no certainty that this proposal will result in a transaction, the Board of FCA has strongly supported and approved the proposal which will now be reviewed by the Groupe Renault Board of Directors. The definitive agreements for the proposed combination are subject to negotiation and to final review and approval by the FCA and Groupe Renault Boards.

Completion of the proposed combination would also be subject to customary closing conditions, including approval by each company’s shareholders, as applicable, and the satisfaction of antitrust and other regulatory requirements.

 Fiat Chrysler is discussing a Renault special dividend and stronger job guarantees in a bid to persuade the French government to back its proposed merger between the carmakers, sources close to the discussions said.

The improved offer, if formalized and accepted, would also see the combined company's operations headquartered in France and the French state granted a seat on its board, two people with knowledge of the matter told Reuters on Sunday.

FCA spokeswoman Shawn Morgan declined to comment. The French government, Renault's biggest shareholder with a 15 percent stake, also declined to comment. A Renault spokesman did not return calls and messages seeking comment.

Italian-American FCA is engaged in intensive discussions with Renault and the French government over the $35 billion merger proposal it pitched last Monday to create the world's third-biggest carmaker.

The concessions being discussed are not definitive and depend on other aspects of an emerging compromise deal, both sources cautioned.

They nonetheless increase the chances that the merger plan will be approved by Renault's board, on which the French state has two seats. The board meets again on Tuesday.

Some analysts and French industry leaders had voiced doubts about the 5 billion euros ($5.6 billion) in claimed cost and investment savings, and whether the proposal represents a fair deal for Renault shareholders.

A Renault dividend would improve the valuation in their favor, balancing a 2.5 billion euro proposed dividend to FCA shareholders. The sources did not elaborate on the potential size of a Renault payout.

The merger plan presented on Monday would see the two carmakers acquired by a listed Dutch holding company whose ownership would be split equally between current FCA and Renault shareholders, after special dividend payments.

FCA had proposed locating the combined group's operational head office in a neutral city, most likely London, but has now indicated readiness to base it in the greater Paris area, meeting a key French government demand, both sources said.

The French government is also likely to be granted a seat on the board to reflect its 7.5 percent stake in the merged company, the people said.

Nissan, whose matching 15 percent stake in its French alliance partner will also be diluted to 7.5 percent of the new group, receives a board seat under the plan unveiled on May 27.

Guarantees to maintain Renault's French blue-collar jobs and industrial sites would also be extended to four years from the two initially proposed under the compromise being discussed, the sources added.

Both France's pro-business government and Italy's populist administration back the merger in principle but fraught relations between the two could yet derail the deal if one side feels disadvantaged.

a ver si lo he entendido... en principio, FCA dijo que iba a dar un dividendo especial de la caja que tiene para ir a la fusión al 50%.

Ahora dice que permitiría que Renault haga lo mismo, esto es, que vaya con menos caja a la fusión. Mejor para los accionistas de Renault.

A mí me parece que la que más gana en la fusión es FCA: tiene las fábricas en Europa a poco más del 50% de capacidad por lo que he leído, accede a la tecnología de Renault/Nissan de coche eléctrico, que recordemos FCA había acordado pagar una pasta a Tesla para computar los coches de esta en Europa de cara a la fórmula para calcular las multas por emisiones que entran en vigor próximamente.... Renault gana acceso a los Jeeps/Rams que no sé si serán muy interesantes fuera de EE.UU y a las marcas de gama altaque le quedan a FCA, que están de capa caída.

Y en la valoración por suma de partes que hacen varios gestores values patrios y extranjeros, las 2 andan teóricamente regaladas.

Por ahí van los tiros, parece que Francia no estaría muy de acuerdo con la fusión porque sobre todo beneficiaría a FCA. Creo que aquí tendremos culebrón para rato.

The Board of Fiat Chrysler Automobiles N.V. (“FCA”) (NYSE: FCAU / MTA: FCA), meeting this evening under the Chairmanship of John Elkann, has resolved to withdraw with immediate effect its merger proposal made to Groupe Renault.

FCA remains firmly convinced of the compelling, transformational rationale of a proposal that has been widely appreciated since it was submitted, the structure and terms of which were carefully balanced to deliver substantial benefits to all parties.

However it has become clear that the political conditions in France do not currently exist for such a combination to proceed successfully.

FCA expresses its sincere thanks to Groupe Renault, in particular to its Chairman and its Chief Executive Officer, and also to the Alliance partners at Nissan Motor Company and Mitsubishi Motors Corporation, for their constructive engagement on all aspects of FCA’s proposal.

FCA will continue to deliver on its commitments through the implementation of its independent strategy

La pregunta es si es solamente un movimiento grandilocuente en la negociación o si se han roto de verdad. Hay demasiados intereses en juego, sobe todo con un importante % de propiedad estatal, posibles reducciones de plantas y plantilla, etc.

Será interesante ver el siguiente movimiento dentro de la alianza entre Renault y Nissan. Esta última quizás pueda haberle visto las orejas al lobo, ya que la fusion Renault-FCA haría de Nissan un corderito muy apetecible.

Fiat ha querido aprovecharse de la debilidad actual de Renault pero el gobierno francés no ha picado. Es que Renault parece tener más futuro que Fiat a ser mejor empresa que Fiat en teoria!

En unos días (18-20 junio) la tendremos (teóricamente) un 6% más barata, en cuanto descuente el (excesivo) dividendo.

Renault se desploma un 12% tras anunciar un profit warning

Renault ha revisado a la baja las previsiones de sus ingresos para este año. Esta revisión a la baja se ha achacado a un contexto poco favorable, en el que han influido de manera negativa la situación en Turquía y Argentina.

Por esto, la empresa estima que los ingresos caerán entre un 3-4% en comparación con los ingresos obtenidos el año pasado. Por lo tanto ha habido una evolución respecto a las estimaciones, que en un primer momento parecían favorables hacia el crecimiento de ingresos, pasando el mes de julio a corregirlas estimando un estancamiento de las ventas a corregir de nuevo a día de hoy viendo que los ingresos serán menores.

Así pues el margen operativo de Renault estará sobre el 5% y no el 6% esperado anteriormente. Además, por lo que respecta al tercer trimestre, los ingresos se redujeron en un 1,6%.

En estos momentos la acción está cayendo un 12% en bolsa tras haber tocado el -14%:


Muchos fondos value están invertidos en Renault y algunos de ellos tienen posiciones importantes: Cobas, Solventis, Magallanes, Arca Global, Metavalor, Trea...

¿Es momento de aprovechar esta reacción del mercado para entrar o recomprar Renault?

esto solo es el principio del fin, como Francia y Alemania sigan con el cuento de la electrificación de los vehiculos, China se los comerá con patatas. Europa quiere obligar a los estados a que electrifiquen, es decir que se hagan unas inversiones estructurales bestiales a base de deuda que pagaremos los contribuyentes, quitandonos poder adquisitivo, no solo eso, una vez que esté hecho y el campo listo para recoger la cosecha, desembarcaran los vehiculos chinos a mitad mitad de precio que cualquier europeo y adios a la renault, Vw ,peugeot...dependeremos 100% de china, ya que ellos controlan el 70% de las minas para la obtencion de baterias.
Esto ya ha pasado, se acuerda del 3G hace unos tres años??? habia telefonos moviles como Siemens, Nokia, Alcatel...los estados se gastaron para modificar las redes y llegó china con Huawei, Xiaomi,ZTE...moviles a mitad de precio y bastante mejores, asi que adios a esas empresas miticas de telefonia.
Personalmente no me opongo al libre comercio,es lo mejor pero siempre con transparencia e iguales reglas, lo que no puede ser es que nos cueste a los contribuyentes, ya sea porque haya que cambiar infraestructuras de redes a costa del contribuyente.
Bienvenidos al fin de europa, nos hemos inmolado.

 YOKOHAMA (Reuters) - Nissan Motor Co Ltd (7201.T) informó el martes una caída de ganancias del 70% y redujo su perspectiva para todo el año a un mínimo de 11 años, ya que el fabricante de automóviles japonés continuó lidiando con la caída de las ventas y las secuelas de la expulsión del ex presidente Carlos Ghosn.

Las ganancias operativas en el segundo mayor fabricante de automóviles de Japón por ventas llegaron a 30 mil millones de yenes ($ 274.98 millones) durante el período de julio a septiembre frente a 101.2 mil millones de yenes del año anterior.
